Welcome to NOVA PLAYERS CLUB (NPC)! Our website, applications, services, and features (collectively, NPC or the "Service") are owned and provided by NOVA PLAYERS CLUB LLC. (hereinafter referred to simply as “NOVA PLAYERS CLUB”). These Terms of Service ("Terms") govern your access and use of the Service. By using the Service, you agree to these Terms, our Privacy Policy, Cookies Policy, NPC Guidelines, and, if applicable, our separate Club Owner Agreement. If you do not agree, please do not use the Service.

In these Terms, when we say “we”, “us”, or “our”, we mean NOVA PLAYERS CLUB and its affiliates. When we say "you" or "your", we mean you, the user of our Service.

Service Overview

NPC is a social platform designed for interactive communities ("Clubs"), real-time communication, multimedia content sharing, integrated Mini Apps or Apps and crypto–blockchain interactions.

NPC integrates with Farcaster, a decentralized social protocol that allows users to connect their identity and content across platforms. When you link your Farcaster account, your public Farcaster content—such as casts, reactions, and follows—may be displayed within NPC.

Additionally, NPC supports Mini Apps: embedded, user-accessible tools and experiences built by third-party developers or users. These apps can enhance the platform with interactive features, but they operate independently and may be subject to their own terms and risks.

You are responsible for managing your Farcaster and Mini App usage, including reviewing applicable terms, handling your own storage or data lifecycle, and understanding any risks tied to third-party access.

Our Service may include access to software, features, content, and items available for purchase or access from us or third parties.

We reserve the right to modify, suspend, limit, or discontinue all or parts of the Service, temporarily or permanently, with or without notice, for security, legal, technical, or business reasons.

Eligibility and Account

You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use our Service. If you are under 18, you must have the permission of a parent or legal guardian, who agrees to these Terms on your behalf. By using the Service, you affirm that you meet these requirements.

You agree to provide accurate information and keep your account credentials secure. Notify us immediately of unauthorized account use. You are responsible for safeguarding your account credentials and should enable two-factor authentication.

By connecting third-party services, including decentralized networks such as Farcaster, you agree to comply with their applicable terms and eligibility requirements. Use of such services may result in persistent content outside of your control or ours, including after account deletion on NPC.

Changes to Terms

We may update these Terms from time to time. Changes are effective upon posting. Continuing to use the Service means you accept the revised Terms.

User Content

“User Content” includes any text, graphics, images, music, audio, video, software, or other material submitted, posted, or displayed by you through the Service. You retain full ownership of your User Content.

By sharing content on NPC, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, adapt, and distribute your content solely to operate, enhance, and promote the Service.

This license applies only to content shared through or stored by NPC. It may not revoke content shared via decentralized protocols such as Farcaster, which may persist independently of your account. Deleting your NPC account does not automatically remove your content from Farcaster or other decentralized systems.

We do not pre-screen user submissions and are not liable for errors, omissions, or content shared by other users or third parties. We may remove content that violates our Terms or applicable law.

Farcaster Content Notice: When you connect a Farcaster account, content (such as casts, reactions, or follows) is stored on decentralized infrastructure. This content may continue to exist independently of your NPC account, and may not be removed through our platform. We help you manage your Farcaster Storage, but you are responsible for managing your Farcaster storage and content lifecycle.

Clubs and Community Management

Users can join Clubs and to create their own account they must apply or upgrade their account. Club owners must abide by the Club Owner Agreement and all club members must follow club rules set and managed by club owners and club admins. The club rules must also follow within our NPC Guidelines. We reserve the right to review, moderate, or remove Club content or activities violating these Terms.

Mini Apps and Third-Party Apps

Our platform allows users and developers to create or integrate Mini Apps. These are hosted within our ecosystem but may be developed or operated independently.

- Use Mini Apps at your own risk. We do not guarantee their security, functionality, legality, or reliability.

- We are not liable for any harm, data loss, or damages arising from your use of Mini Apps or third-party apps.

- We may remove or restrict access to any Mini App that compromises user safety, violates our Terms, or poses a security risk.

- If you develop or deploy a Mini App through our platform, you are solely responsible for its content, functionality, and compliance with all applicable laws. We reserve the right to remove any Mini App that violates these terms or jeopardizes user safety.

Crypto and Blockchain Features (Disclaimer)

Our platform includes cryptocurrency and blockchain-related features. By using these features, you acknowledge and agree that:

- You fully understand and accept all risks associated with cryptocurrency, including but not limited to market volatility, technological risks, security breaches, hacking, theft, fraud, loss of private keys or wallet credentials, and sudden regulatory changes.

- Our features may interact with smart contracts or decentralized systems that are experimental and inherently risky. You acknowledge that outcomes may be unpredictable or irreversible.

- We strongly recommend that you seek independent financial, tax, or legal advice before engaging in cryptocurrency transactions or investments. The outcomes, returns, or profitability of cryptocurrency activities are never guaranteed.

- We expressly disclaim any liability and will not be held responsible for any losses, damages, theft, or unauthorized access to your cryptocurrency or blockchain-related information, accounts, wallets, or assets.

- You are solely responsible for maintaining the confidentiality and security of your personal information, account details, private keys, wallet addresses, and any other credentials related to your cryptocurrency activities. We are not responsible for any lost, stolen, corrupted, or otherwise tampered-with information or assets.

- We do not provide any warranty regarding the security, reliability, or continuous availability of cryptocurrency or blockchain-related features on our platform. All use is at your own risk.

- You agree to ensure compliance with all applicable local laws and regulations. Cryptocurrency and blockchain transactions are typically irreversible; we are not responsible or liable for errors, inaccuracies, or mistakes made by you during any cryptocurrency-related activity.

By continuing to use our cryptocurrency and blockchain features, you agree to these terms, release us from all claims or liabilities arising from or connected to these activities, and acknowledge the inherent risks involved.

Payments and Transactions

Payments are processed through third-party providers (e.g., Stripe, Helio). By making a payment, you confirm:

- You are authorized to use the payment method.

- Your payment information is accurate and current.

- We may process and share your payment information with our providers.

- All subscription fees are non-refundable unless explicitly stated otherwise. Canceling stops future charges but does not refund previous charges. We may change fees, notifying you in advance.

- You are responsible for applicable taxes or fees. We are not responsible for charges from your financial institution.

- Subscriptions processed via Stripe automatically renew; those via Helio must be manually renewed. Renewal notifications will be sent to your email.

- You may purchase gift subscriptions subject to these Terms and additional conditions communicated during gifting.

Prohibited Activities

You agree not to engage in prohibited activities outlined in our NPC Guidelines. Violation of these guidelines may result in account suspension or termination.

Intellectual Property

We own our platform content and technology. You’re granted a limited license to use the Service per these Terms. Respect others’ intellectual property rights.

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed upon on our Service, please notify us at support@novaplayersclub.com and provide:

- A description of the copyrighted work.

- A description and location of the infringing material.

- Your contact information (address, telephone number, and email).

- A statement of good faith belief that the material is unauthorized.

- A statement that your notice is accurate and you’re authorized to act on behalf of the copyright owner.

We will promptly investigate and, if necessary, remove infringing material or disable access to it.

Privacy and Data Charges

Review our Privacy Policy for details on how we handle your personal information. You are responsible for data or communication charges from your network provider.

Export Control and International Compliance

You agree to comply with applicable export and re-export laws, regulations, and sanctions, including U.S. laws. The availability of certain features may vary by jurisdiction due to legal or regulatory constraints. You must ensure your use does not violate any local, national, or international laws.

Termination

You can delete your account at any time. Upon termination, your access and content will cease, though we may retain data as required by law.

We may suspend or terminate your access immediately if you violate these Terms or engage in harmful conduct. Termination doesn’t relieve you from obligations arising before termination.

Decentralized Data Notice

Some features of our platform rely on decentralized protocols (such as Farcaster). These systems are not controlled by NPC and may retain your content, identity, or interactions beyond the lifespan of your account with us.

We cannot guarantee removal or erasure of data stored on decentralized networks. Please consult each protocol’s documentation and manage your external accounts and storage settings responsibly.

Jurisdictional Issues

Our Service may not be suitable or available everywhere. If you access our Service, you’re responsible for complying with local, state, or federal laws applicable to you.

User Disputes

You are solely responsible for interactions with other users. While we reserve the right, we have no obligation to become involved in disputes between users.

Reliance on Information Posted

Information on our Service is for general purposes only. We don’t guarantee accuracy or completeness. Reliance on this information is at your own risk.

Third-Party Links and Integrations

Links or integrations do not imply endorsement. We do not control third-party services you connect to, including Farcaster or Mini Apps or Apps.

You are responsible for reviewing the terms and privacy policies of any third-party services you choose to use via our platform.

Disclaimers and Liability

The Service is provided “as is” without warranties. Our liability is limited to direct damages capped at the amount you’ve paid us in the last three months or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless NOVA PLAYERS CLUB, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of your use or misuse of the Service or violation of these Terms.

Arbitration and Dispute Resolution

Please first try to resolve disputes informally by contacting us. If unresolved, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will occur remotely or in a mutually agreed location. You can opt-out of arbitration within 30 days of first agreeing to these Terms. You waive any right to participate in class actions.

Governing Law

These Terms are governed by the laws of the United States. Users outside the U.S. must comply with local laws.

Electronic Communications and Signatures

By using our Service, you consent to electronic communications (emails, texts, notifications). For emails, opt-out instructions are provided in messages. For certain activities, we can offer electronic signatures. By checking boxes, continuing with form submission or completing similar online processes, you provide your electronic signature, agreeing to be legally bound as if you physically signed a paper document.

Force Majeure

We aren’t liable for service failures due to unforeseen events beyond reasonable control (e.g., natural disasters, pandemics).

Feedback

We welcome your feedback to improve our Service. By providing feedback, you grant us a non-exclusive, transferable, perpetual, royalty-free, worldwide license to use and incorporate your suggestions into our Services without compensation.

Waiver of Rights

Our failure to enforce any right or provision of these Terms doesn’t waive our right to enforce such right or provision later. Any waiver must be in writing and signed by an authorized representative of NOVA PLAYERS CLUB.

Miscellaneous

These Terms represent our entire agreement. If any provision is unenforceable, the remaining provisions remain in effect.
